The registrant requests the following amendment(s) to registration no. 2741344 STERN COLLEGE FOR WOMEN(Standard Characters) has been amended as follows:

EXPLANATION OF FILING

Correction of the type of entity of the registrant in the registration is respectfully requested.

The registrant is a "not-for-profit education corporation" as evidenced by the attached documents issued by the New York Secretary of State and New York Department of Education.

The Applicant's entity type was identified in the application submitted to the PTO on May 13, 2012 as an "educational corporation," when in fact the entity was and is a "not-for-profit education corporation." When Yeshiva University was incorporated in 1897, the Memberships Corporations Law dictated the organization of universities and colleges. Thus, at the time, "Yeshiva University" was referred to as a Membership Corporation in its charter. Such law is no longer in effect in New York and was superseded by New York’s not-for-profit law. Yeshiva University is identified in the attached New York Secretary of State records as a "not-for-profit corporation" because of its earlier inception. However, pursuant to Education Law §216, and as set forth by the New York State Department of Education, all universities in the state of New York must be chartered by the Board of Regents and are referred to as "education corporations" (see attached print-out from the New York State of Education Department website). Yeshiva University cannot take any action without the approval of the Board of Regents. The attached good standing certificate denotes the authority of the Board of Regents over the University, as well as the charter amendments.

In light of the forgoing, it is factually accurate for Yeshiva University to be identified as a New York "not-for-profit education corporation" in the USPTO records and not just a "not-for-profit corporation" because the latter does not take into consideration the laws governing universities in the state of New York; nor does it provide a full picture of the type of owner.

It is respectfully requested that the above correction be made to the registration and a corrected certificate of registration be issued to registrant’s undersigned attorneys. A fee of $100.00 is enclosed. Please charge any additional fees to Deposit Account No. 50-4047. The registrant respectfully requests that the PTO telephone Rachelle A.
