EXPLANATION OF FILING

Registrant requests correction of the Registrant's corporate entity status from George Little Management, LLC, a NY Corporation to George Little Management, LLC, a DE limited liability company.  Registrant respectfully submits that through inadvertent error the underlying application listed Registrant as a NY corporation, which it never was.  Registrant's correct entity status is a Delaware limited liability company.  Registrant submits that the foregoing correction is not a substitution of owners -- George Little Management, LLC, a NY Corporation has never existed as a legal entity --, but is merely a correction of the owner's entity status and, therefore, requests correction of the registration.
